Last updated: September 4, 2026

Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Ansh Pradhan, operating under the name Arclasp (“Arclasp,” “we,” “us,” or “our”) concerning your access to and use of the Arclasp websites, hosted backend, dashboard, APIs, documentation, public verification features, and related hosted services (collectively, the “Services”).

Certain Arclasp software, including software development kit components, may be distributed separately under an open-source license. Those components are governed by their applicable open-source licenses to the extent those licenses apply.

By creating an account, accessing authenticated portions of the Services, using the Services, or otherwise indicating acceptance of these Terms, you agree to these Terms.

If you use the Services on behalf of a company, organization, or other person, you represent that you have authority to bind that person to these Terms.

If you do not agree to these Terms, do not use the Services.

1. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to use the hosted Services.

The Services are principally intended for professional, developer, organizational, and business use.

If applicable law grants you mandatory rights that cannot be waived by contract, nothing in these Terms is intended to exclude those rights.

2. THE SERVICES

Arclasp provides runtime governance and evidence infrastructure for AI-agent and automated workflows.

Depending on configuration, the Services may enable customers to:

Arclasp Does Not Execute Your Tools

Unless expressly stated otherwise for a particular feature, Arclasp does not execute your underlying customer-side tools, transactions, deployments, database operations, communications, payments, or other real-world actions.

Your application, agent, infrastructure, or third-party service executes those actions.

Arclasp provides a governance and evidence layer around workflows that you instrument.

You remain responsible for the systems and actions you operate.

3. BETA STATUS AND AVAILABILITY

The hosted Services are currently offered as a free beta service.

Beta functionality may:

We do not currently provide a service-level agreement or guaranteed uptime for the free beta unless we expressly agree otherwise in writing.

We may modify or discontinue beta features where reasonably necessary.

Where practicable, we will endeavor to provide reasonable notice of changes that materially affect active users, but emergency, security, legal, or technical circumstances may require changes without advance notice.

You should maintain appropriate independent safeguards for workflows that are important to your business.

The Services are not a substitute for your own backup, continuity, incident-response, or operational-control systems.

4. OPEN-SOURCE SOFTWARE

Certain Arclasp software may be made available under open-source licenses.

Your rights to use, modify, copy, or distribute those components are governed by the applicable open-source license.

Nothing in these Terms:

The hosted backend, hosted dashboard, Arclasp trademarks, non-open-source software, and proprietary service functionality remain subject to these Terms.

5. ACCOUNTS, ORGANIZATIONS, AND CREDENTIALS

You may be required to create an account to use certain Services.

You agree to:

You are responsible for activity performed through your account or credentials to the extent that activity results from your acts, omissions, or failure to protect access credentials.

You must notify us promptly if you reasonably believe your Arclasp account or API credentials have been compromised.

6. CUSTOMER RESPONSIBILITIES

You are responsible for the design, operation, security, and legal compliance of your own:

Policy Configuration

You are responsible for deciding whether Arclasp policies, thresholds, exceptions, approval requirements, risk levels, budgets, and other settings are appropriate for your use case.

Defaults and examples are provided for convenience and are not a substitute for your own risk analysis.

Human Oversight

Arclasp is intended to support governance and oversight.

It does not eliminate the need for human review, engineering controls, security controls, or independent verification appropriate to your use case.

Data Submitted to Arclasp

You are responsible for:

Unless expressly agreed otherwise, you should not intentionally use Arclasp as a repository for passwords, private cryptographic keys, full payment-card data, medical records, biometric templates, government-issued identifiers, or other highly sensitive data that is unnecessary for the governance function being performed.

Compliance

You are responsible for determining whether your use of Arclasp and the systems you govern comply with laws, regulations, contractual duties, and industry requirements applicable to you.

7. CUSTOMER CONTENT

“Customer Content” means data, content, configurations, policies, metadata, prompts, outputs, tool information, workflow information, documentation, or other materials that you or your systems submit to the Services.

As between you and Arclasp, you retain ownership of Customer Content.

You grant Arclasp a non-exclusive, worldwide, royalty-free right to host, reproduce, transmit, process, format, secure, and otherwise use Customer Content only to the extent reasonably necessary to:

Our processing of personal information is described in the Arclasp Privacy Policy:

https://arclasp.com/privacy

Where Arclasp processes personal information on behalf of a customer and applicable law requires processor, service-provider, contractor, or subprocessor terms, the parties may enter into appropriate data-processing terms.

You remain responsible for determining your own obligations as a controller, business, processor, data fiduciary, or equivalent party under applicable law.

9. GOVERNANCE DECISIONS

Arclasp may return governance outcomes including, depending on applicable configuration:

You acknowledge that governance results depend on factors including:

10. APPROVALS

Where the Services require human approval, the Services may pause or restrict a governed workflow pending a decision.

You are responsible for:

An approval recorded by Arclasp represents the governance decision submitted through the relevant approval mechanism.

It does not independently establish that the underlying action was legally authorized, commercially prudent, technically correct, or factually accurate.

11. RECEIPTS, EVIDENCE, AND VERIFICATION

Arclasp may create receipts, approval certificates, signed evidence, hashes, verification results, timestamps, or related integrity material.

These features are intended to provide evidence concerning the state, content, integrity, or governance history recorded by Arclasp.

Unless expressly agreed otherwise in writing:

You remain responsible for determining whether evidence generated by the Services is sufficient for your legal, audit, compliance, or operational purpose.

12. PUBLIC VERIFICATION

Authorized users may create public verification links for eligible evidence.

You are responsible for determining whether information should be made publicly accessible.

A public verification link may be accessible by anyone who obtains the link.

Although Arclasp may support expiration, revocation, or supersession of links, Arclasp cannot require a person who previously viewed public information to delete:

Do not create or distribute a public verification link if doing so would violate:

13. ACCEPTABLE USE

You must not use the Services to:

Good-faith security research performed in accordance with any published Arclasp security or vulnerability-disclosure rules is not intended to be prohibited by this Section.

We may investigate suspected abuse and take reasonable action where necessary.

14. THIRD-PARTY SERVICES

The Services depend on or may interoperate with third-party infrastructure, authentication services, hosting services, database services, communication services, monitoring services, AI frameworks, and other technologies.

We do not control third-party services.

A failure, outage, suspension, security incident, API change, or policy change affecting a third party may affect the Services.

To the extent permitted by law, Arclasp is not responsible for acts or omissions of third-party services that are outside our reasonable control.

Your independent use of a third-party service is governed by your agreement with that provider.

15. FEES

The hosted Services are currently provided without charge during the beta period.

We may introduce paid features or plans in the future.

We will not charge you merely because these Terms allow future fees.

Before charging for a new paid service, we will provide applicable pricing or purchase terms and obtain any agreement required for that transaction.

Additional payment, billing, subscription, or cancellation terms may apply when paid functionality is introduced.

16. CONFIDENTIALITY

Each party may receive non-public information from the other that a reasonable person would understand to be confidential (“Confidential Information”).

Confidential Information does not include information that the receiving party can demonstrate:

The receiving party will:

A party may disclose Confidential Information where required by applicable law or valid legal process.

Where legally permitted and reasonably practicable, the receiving party will provide notice of compelled disclosure.

17. ARCLASP INTELLECTUAL PROPERTY

Except for Customer Content and third-party or open-source materials, Arclasp retains all rights, title, and interest in and to:

Subject to these Terms, Arclasp grants you a limited, non-exclusive, non-transferable right to access and use the hosted Services for your lawful internal, professional, or business purposes during the period in which you are permitted to access them.

Nothing grants you ownership of Arclasp's proprietary technology.

18. FEEDBACK

If you voluntarily provide suggestions, ideas, feature requests, or feedback concerning Arclasp, you permit us to use that feedback without restriction or obligation to compensate you.

This does not transfer ownership of unrelated Customer Content to Arclasp.

We may terminate or discontinue your access where permitted by these Terms, including for:

Certain information may be retained as described in the Privacy Policy, including where necessary for:

Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, confidentiality, disclaimers, liability, indemnification, evidence limitations, governing law, and accrued rights.

22. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ARCLASP DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED.

WITHOUT LIMITING THE ABOVE, ARCLASP DOES NOT WARRANT THAT:

You are responsible for independent professional advice where appropriate.

TO THE FULLEST EXTENT PERMITTED BY LAW, ARCLASP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE TOTAL AMOUNT YOU PAID TO ARCLASP FOR THE HOSTED SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR

(B) USD $100.

This limitation applies regardless of the legal theory asserted.

Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

24. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Arclasp and persons acting on Arclasp's behalf from third-party claims, liabilities, damages, judgments, and reasonable legal costs arising from or relating to:

in each case to the extent the relevant claim results from your act, omission, content, system, or breach.

We will provide reasonable notice of a claim for which indemnification is sought where practicable.

You may not settle a claim in a manner that admits wrongdoing by Arclasp or imposes an obligation on Arclasp without our prior written consent.

25. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of India, without regard to conflict-of-laws principles.

Before commencing formal proceedings, you and Arclasp agree to attempt in good faith to resolve a dispute informally for at least 30 days after written notice of the dispute.

Notices to Arclasp concerning a dispute should be sent to:

legal@arclasp.com

If a dispute cannot be resolved informally, the parties submit to the courts in India having competent territorial and subject-matter jurisdiction over the operator's principal place of business, except to the extent mandatory applicable law requires another forum.

Nothing in this Section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where reasonably necessary to protect intellectual property, confidential information, security, or prevent imminent harm.
